Biography

Linsey Bozzelli concentrates her practice in the area of business and corporate law, including:

  • Mergers, acquisitions, and divestitures
  • Private equity and venture capital funding transactions
  • General corporate, partnership, and limited liability company transactions and counseling
  • Transactional and day-to-day legal and strategic consulting for clients in the fashion, design, and branding industries
  • Joint ventures and strategic alliances
  • Financing transactions
  • Business formation and planning
  • Contract drafting and negotiations
  • Counseling and formation of nonprofit organizations

Outside of her work at the firm, Linsey is actively involved in the Philadelphia neighborhood where she lives with her family.

  • Serves as “outside general counsel” to a number of emerging and middle-market companies in various industries including fashion, consumer goods, design, branding, manufacturing, and business services and technology support.
  • Represents clients in a variety of transactions, including, among others:
    • Victor Capital Partners, a private equity firm focusing on specialty consumer products and services, industrial manufacturing, and technologies and business services, in several transactions, including:
      • Its sale of PrimaLoft, Inc., a world leader in research and development of advanced insulations and fabrics, to Compass Diversified (NYSE: CODI) for $530 million.
      • Its acquisition of the Rizzo Group and CodeGreen Solutions, leading providers of building code and zoning compliance, inspection services, energy management, and sustainability services for the commercial real estate industry.
      • Its acquisition of the assets of W.S. Molnar Co., manufacturer of SlipNOT®, an all metal, slip-resistant surface that is created through a proprietary manufacturing process.
      • Its acquisition of Tender Corporation, which sells a range of best-in-class branded consumer products, including outdoor and consumer packaged goods, with trusted brands in safety, preparedness, and first aid.
      • Its acquisition of PrimaLoft, Inc., a materials science company specializing in advanced branded technical products including insulation, fabric, and yarn for outdoor, fashion, and other industries.
    • Clair Global Corp., the world’s largest international live sound reinforcement and touring support company, in several transactions, including its acquisition of Eighth Day Sound Systems, Inc., a leading provider of services in the same industry.
    • Siemens Healthineers in its acquisition of a majority stake in ECG Management Consultants, a leading U.S. healthcare advisory firm.
    • Juniper Landscaping, a portfolio company of ZS Fund L.P. and a leading provider of landscaping services to commercial clients, in connection with a platform investment by Bregal Partners,
    • OrthogenRx, a medical device company, in its $160 million sale to U.S.-based Avanos Medical, a medical technology company that provides healthcare solutions focused on pain management and medical devices.
    • Komodo Health, Inc., a software developer and service provider for customers operating in the healthcare sector, in several transactions, including:
      • Its acquisition of Mavens Consulting Services, Inc., a software developer and service provider to clients operating in the life sciences and patient services sectors with operations in the United States, the United Kingdom, and India.
      • Its acquisition of Breakaway Partners, a leading market access software company for the life sciences industry.

Professional Activities

Since joining the firm, Linsey has been actively involved in many of the firm’s pro bono initiatives, including representing several nonprofit organizations, as well as various clients petitioning for asylum and citizenship in the United States.

Linsey serves as a member of the Advisory Board of the Philadelphia Fashion Incubator (“PFI”) at Macy’s Center City, a nonprofit organization that supports local fashion designers who want to launch their businesses in the city.
