Biography

Linsey Bozzelli concentrates her practice in the area of business and corporate law, including:

  • Mergers, acquisitions, and divestitures
  • Private equity and venture capital funding transactions
  • General corporate, partnership, and limited liability company transactions and counseling
  • Transactional and day-to-day legal and strategic consulting for clients in the fashion, design, and branding industries
  • Joint ventures and strategic alliances
  • Financing transactions
  • Business formation and planning
  • Contract drafting and negotiations
  • Counseling and formation of nonprofit organizations

  • Serves as “outside general counsel” to a number of emerging and middle market companies in various industries including fashion, consumer goods, design, branding, and technology support.
  • Baierl Automotive, one of the largest car dealerships in Western Pennsylvania, in its sale to Lithia Motors, one of the largest car retailers in the United States.
  • Dorman Products Inc., a leading supplier in the automotive aftermarket, in its acquisition of MAS Automotive Distribution Inc. (MAS Industries), a premium chassis parts and control company.
  • FragranceNet.com, an online retailer of perfumes, skincare and related beauty products, in its sale to B&S Group, a global distributor of consumer goods.
  • SOS Security LLC, a privately-owned security company, in several transactions, including:
    • its acquisition of substantially all of the assets of McGinn Security, a provider of security services to customers in the greater Philadelphia area.
    • its acquisition of First Alarm Security & Patrol, Inc. d/b/a First Security Services, a provider of security services to customers in Northern California.
    • its acquisition of substantially all of the assets of Premier and Apex3 Security, providers of security services to customers in the greater Chicago area.
    • its acquisition of certain service assets of Guardian Guard Services, one of the nation's largest privately owned security companies, with offices in Michigan and Ohio.
    • its acquisition of all equity securities from AS Solution, a provider of executive protection and security services for Fortune 500 corporations and other clients.
  • Surface Preparation Technologies, LLC (“SPT”), a portfolio company of L2 Capital Partners, in its sale of 100% of its membership interests to BSPT Acquisition, Inc., a portfolio company of Branford Castle Partners, LP. SPT is the nation's leading provider of rumble strips and safety-related roadway surface preparation and maintenance services.
  • Symphony Health Solutions Corporation, a provider of data, analytics and consulting solutions to the life sciences market, in its sale to PRA Health Sciences Inc., a leading clinical research organization.
  • Victor Capital Partners, a middle-market private equity firm that invests in branded businesses in the industrial and consumer sectors, in its acquisition of PrimaLoft Inc., a materials science company specializing in advanced branded technical products including insulation, fabric, and yarn for outdoor, fashion, and other industries.
  • vybe, an operator of urgent care centers intended to provide treatment for a broad range of illnesses and injuries, with regard to a growth equity investment by NewSpring Health Capital, the dedicated healthcare fund of parent private equity company NewSpring, and Philadelphia College of Osteopathic Medicine (“PCOM”).

Professional Activities

Since joining the firm, Linsey has been actively involved in many of the firm’s pro bono initiatives, including representing several nonprofit organizations, as well as various clients petitioning for asylum and citizenship in the United States.

Linsey also serves as vice chair of Blank Rome’s Women’s Forum and as a member of both the firm’s Attorney Recruiting Committee and Diversity & Inclusion Committee.

Linsey is a member of the board of trustees of the Philadelphia Bar Foundation and a member of the Pennsylvania Hospital Intensive Care Nursery Family Council. She serves on the Corporate Executive Board of the Philadelphia Museum of Art.

Linsey serves as a member of the Board of Philadelphia Fashion Incubator (“PFI”) at Macy’s Center City, a nonprofit organization that supports local fashion designers who want to launch their businesses in the city.
