Rachel A. Packer

Biography

Rachel Packer concentrates her practice on mergers and acquisitions (“M&A”), strategic investments, and business and corporate law, including:

  • Mergers, acquisitions, and divestitures;
  • Private equity entities and their portfolio companies;
  • Strategic investments and joint ventures;
  • A variety of general business matters, including commercial agreements, and business formation and planning.

Rachel regularly represents private equity firms and their portfolio companies, privately held businesses, strategic investors, and entrepreneurs in connection with M&A transactions. Rachel also acts as “outside general counsel” for several clients, advising on commercial contracts, corporate governance, and overall risk management.

In addition to helping clients with corporate matters, Rachel helps with the identification of a myriad of additional issues, such as shareholder relations or business disputes. She frequently represents sellers of middle-market, privately held businesses, including those backed by private equity, and entrepreneur-led companies, as well as multigenerational family enterprises, in transactions with financial and strategic buyers, and also advises clients on private capital matters. Rachel is also adept at helping her clients with transactional and day-to-day legal and strategic consulting, as well as drafting and negotiating commercial contacts.

Rachel’s experience spans a wide range of industries including manufacturing, software, technology, and construction. Rachel has significant experience in the food and beverage industry. Rachel’s clients include food and beverage retailers, processors, manufacturers, and distributors.

Rachel has served as a volunteer board advisor for several non-profit organizations in the Philadelphia area through the Compass Pro Bono organization. Rachel is Co-Chair of the Philadelphia chapter of 100 Women in Finance and a member of the Exit Planning Institute Philadelphia Chapter Leadership Team.
