Biography

Ben Brownstein concentrates his practice on representing and advising private equity sponsors (and their portfolio companies), family-owned and closely held businesses, and other public and privately held companies on all corporate matters, including:

  • Mergers, acquisitions, and divestitures;
  • Private equity transactions and portfolio company representation;
  • Strategic investments and joint ventures;
  • General corporate, partnership, and limited liability company matters (including entity formation and planning) and governance; and
  • A variety of general business matters, including commercial agreements, and business formation and planning.

Ben regularly represents private equity firms and their portfolio companies, privately held businesses, strategic investors, and entrepreneurs in connection with M&A transactions. Ben also acts as “outside general counsel” for several clients, advising on commercial contracts, corporate governance, and overall risk management.

In addition to helping clients with corporate matters, Ben regularly represents sellers of middle-market, privately held businesses, including those backed by private equity, and entrepreneur-led companies, as well as multigenerational family enterprises, in transactions with financial and strategic buyers. Ben is also adept at helping his clients with transactional and day-to-day legal and strategic consulting, as well as drafting and negotiating commercial contacts.

Ben’s experience spans a wide range of industries including manufacturing, software, technology, construction, infrastructure and the food and beverage industry (in particular, the consumer-packaged goods industry).

Prior to joining Blank Rome, Ben served as a summer associate at the firm and a judicial intern for the President Judge Susan Peikes Gantman of the Superior Court of Pennsylvania. A certified public accountant in the Commonwealth of Pennsylvania, Benjamin also previously served as a tax associate at a Big Four accounting firm.

  • La Colombe, an independent, high-growth, super-premium coffee company that serves consumers across multiple channels, including retail, cafes, foodservice, and direct-to-consumer, in numerous transactions, including (i) a long-term sales and distribution agreement for La Colombe's ready-to-drink coffee and a long-term licensing, manufacturing and distribution agreement with a large strategic investor; and (ii) multiple equity investments and the ultimate sale of the company.
  • OptimizeRx, a leading provider of healthcare technology solutions, in multiple transactions, including its acquisition of Medicx Health, a leading healthcare consumer-focused omnichannel marketing and analytics company.
  • World Wide Land Transfer, a national title insurance and settlement services agency, in an investment from Corridor Capital, a Los Angeles-based private equity firm.
  • S&P Consultants, a healthcare IT consultancy with a 25-year track record, in its sale to Nordic Consulting, a global health and technology consulting company.
  • An entrepreneur in selling a professional sports franchise.
  • Acquisitions of security services-related companies on behalf of a private equity firm and its portfolio company.
  • Early-stage capital transactions on behalf of companies and investors in various industries.
  • A private equity firm and its material and waste portfolio company in its acquisition of a diversified material and waste transportation, recycling, and disposal services business.
  • A private equity fund in its acquisition of a business engaged in specialty packaging solutions for branded consumer products.
  • Served as “outside general counsel” to a number of emerging and middle market companies in various industries including consumer products, media, supply and distribution, software, supply chain management, life sciences, and technology.
