Jonathan T. Keen

Biography

Jonathan Keen concentrates his practice on corporate, M&A, and securities matters.

Jonathan has extensive experience with M&A and corporate transactions, including drafting and negotiating asset and stock purchase agreements, merger agreements, and other transaction documents in public and private company mergers and acquisitions; representing NYSE and NASDAQ-listed companies in public offerings and private placements of equity and debt securities; and preparing SEC filings for NYSE and NASDAQ-listed companies. Jonathan’s practice also includes counseling clients on a wide variety of corporate governance and regulatory matters.

Prior to joining Blank Rome, Jonathan practiced as a transactional attorney in the Los Angeles office of a global law firm. He is a certified public accountant in the State of California and previously worked as an accountant for Ernst & Young LLP.

  • Korn/Ferry International, the leading executive search firm, in numerous acquisitions of various privately held executive search and leadership and talent companies throughout the world, including:

    • its $500 million acquisition of The HayGroup Companies, a worldwide leader in leadership talent and compensation consulting services; and

    • its $100 million acquisition of Personnel Decisions Corporation, a provider of assessment, development and leadership strategy services.

  • Emergency Medical Services, a leading provider of emergency medical services in the United States, and several of its affiliates (“EMS”) in the sale of EMS to EmCare, Inc., a subsidiary of Envision Healthcare Holdings, Inc.

  • Kreisler Manufacturing Corporation, a manufacturer of precision metal components and assemblies for use in aircraft engines, in its sale to United Flexible, Inc.

  • Mastech Digital, Inc., a provider of Digital Transformation IT Services, in its private placement of common stock to its co-founders.

  • Moda Nicola International LLC, owner of the Robert Rodriguez Collection, in the sale of 100 percent of its ownership interest to Jones Apparel Group, Inc.

  • OHS-Compcare, LLC, in the sale of its occupational health and urgent care centers to U.S. HealthWorks.

  • Norac, Inc., a specialty chemical company based in New Jersey, in the sale of its additives division to the Peter Greven Group.

  • Partners Trust Real Estate Brokerage & Acquisitions, an independent boutique real estate brokerage based in Los Angeles, in its sale to Pacific Union International.
