A Blank Rome team represented Tallgrass, a Blackstone-affiliated energy and infrastructure company, in its acquisition of Ruby Pipeline through a competitive auction process supervised by the Delaware Bankruptcy Court. The transaction involved cash consideration of approximately $290 million, and closed on January 13, 2023.
Ruby, the owner of a 683-mile interstate natural gas pipeline that extends from Wyoming to Oregon, filed for bankruptcy protection in March 2022. The acquisition enabled the newly reorganized Ruby entity to emerge from bankruptcy protection under Tallgrass’ ownership. Tallgrass’ acquisition of Ruby adds approximately 1.5 billion cubic feet of natural gas capacity to the Tallgrass pipeline portfolio and enhances natural gas service to West Coast markets.
