Stephen H. Alpert

Biography

Stephen Alpert represents asset-based and commercial lenders in the structuring, documentation, and closing of secured asset-based and cash flow financing transactions, loan workouts and restructurings, and liquidations. His clients include major money center banks, foreign banks and their U.S. subsidiaries, investment banks, commercial finance companies, asset-based lenders of national and regional standing, and hedge funds.

Stephen’s extensive finance experience includes representing clients with respect to syndicated credit facilities, M&A financings, multi-tranche split collateral, first-lien/second-lien senior and subordinated debt intercreditor agreements, cross-border financings, Chapter 11 DIP, and Chapter 11 exit financings.

Experience

  • A financial institution, as agent, lender and arranger, in a syndicated $150 million, chapter 11 exit financing provided to affiliated companies in the business of providing global defense aviation and civil aviation services, including intercreditor arrangement with second-lien term debt holders.
  • A national bank, as agent, in a secured revolving credit facility and deferred term loan facility to a leading manufacturer of cotton denim apparel with U.S. and Central America operations, including intercreditor arrangement with second-lien term loan lender.
  • A commercial finance company, as agent and lender, in a $100 million secured revolving credit facility to a leading manufacturer and distributor of specialty plastics products. 
  • The lead arranger and agent in a $125 million syndicated secured revolving credit facility to a provider of security services to the U.S. military and private industry.
  • A national bank, as agent and sole lender, in a $125 million secured cross-border revolving credit facility to a leading global manufacturer of specialty metal products.
  • A national bank, as agent and sole lender, in a $45 million secured revolving credit facility to a domestic manufacturer and distributor of specialty watches and its Hong Kong affiliate.
  • A national bank, as agent and sole lender, in a $50 million secured acquisition financing and revolving credit facility to a worldwide leader in the manufacture of specialty machining tools, including a sub-facility guaranteed by the U.S. Export-Import Bank.
  • The lead arranger and agent in a $90 million syndicated secured revolving credit facility to an oilfield services contractor that provides drilling and production-related services to oil and natural gas companies.
  • A national bank, as agent and sole lender, in a $40 million secured revolving credit facility to a domestic auto parts manufacturer, including a sub-facility guaranteed by the U.S. Export-Import Bank.
  • A foreign bank in the workout of an aircraft financing facility provided to a bankrupt domestic airline, including the repossession and foreclosure sale of aircraft financed by the foreign bank.
  • The lead arranger and agent in a syndicated secured cash flow credit facility to an electronic components and semi-conductor manufacturer comprised of a multimillion-dollar revolver, $54 million term loan A and multimillion-dollar delayed draw term loan B.
  • The lead arranger and agent in a multimillion-dollar syndicated secured cash flow revolving credit facility to a contract provider of hospital emergency room medical care.
  • The lead arranger and agent in a secured revolving credit, term loan A, term loan B, and factoring facility provided to a leading manufacturer of women’s apparel in the United States and Canada.
  • A commercial finance company, as agent and lender, in a $30 million lender finance revolving credit facility to a manufacturer’s captive lending subsidiary, secured by such subsidiary’s loan portfolio.
