Jill R. Mindlin

Biography

Jill R. Mindlin represents leading financial institutions in a wide range of secured lending, asset-based finance, and commercial credit transactions. She brings deep proficiency in structuring, negotiating, and documenting complex credit facilities, including asset-based loans, acquisition financings, debtor-in-possession facilities, and syndicated transactions.

Jill has significant experience advising banks, commercial finance companies, asset-based lenders, and specialty finance providers across industries such as manufacturing, technology, food and beverage, and equipment leasing. She regularly counsels lenders on transactions involving unique or high-value collateral, including loans to high-net-worth individuals secured by fine art, sports memorabilia, and other distinctive assets. Her experience with Article 9 of the Uniform Commercial Code (“UCC”), combined with her practice in loan workouts and restructurings, allows her to guide clients through the full life cycle of secured credit relationships—from origination to enforcement.

In addition to her transactional finance work, Jill has represented sellers, issuers, purchasers, and underwriters in structured finance matters, with a strong focus on legal opinion practice, and has advised servicers of securitized mortgage portfolios.

Jill also maintains an active pro bono practice focused on food-allergy policy and advocacy. She serves on the Advocacy Committee of FARE ("Food Allergy Research & Education") and the Legislative Advisory Committee of the Elijah Alavi Foundation, supporting nationwide efforts to advance education, safety, and legislative reform.

Jill is an avid golfer and singer.

  • Represented a multinational investment bank and financial services company, as lender, in a line increase to a $420 million art loan to a prominent American businessman and art collector.
  • Represented a leading global investment bank, as agent and lender, in a $400 million revolving line of credit to a grocery delivery services company.
  • Represented a national bank, as lender, in a $25 million revolving line of credit to a wholesale distributor of electronic parts and electronic communications equipment.
  • Represented a leading global financial services company, as agent and lender, in a $35 million revolving line of credit to a distributor of generic pharmaceutical products.
  • Represented a diversified financial services company, as agent and lender, in a $20 million revolving line of credit to an integrated frac sand supply and services company.
