Ira H. Polon

Biography

Ira Polon focuses his practice on corporate law, particularly mergers and acquisitions. With his substantial experience in mergers, acquisitions, and financings, he has personally directed the representation of buyers and sellers in more than 160 transactions.

In connection with his transactional work, he has supervised teams of as many as 30 attorneys with experience in a variety of legal areas, including real estate, antitrust, intellectual property, tax, environment, litigation, and employee benefits.

Additionally, he has had primary responsibility for numerous transactions with venture capitalists and organizations providing equity to clients. He has represented issuers and underwriters in connection with a number of  public offerings.

Mergers and Acquisitions

Ira has represented a leveraged buyout organization in connection with numerous substantial acquisitions and dispositions, as well as a wide variety of government contractors and other businesses in connection with their merger and acquisition activities.

With regard to his merger and acquisition work, Ira has supervised and participated in the negotiation of all necessary financing and refinancing documents. The financings have involved major senior secured lenders and subordinated lenders.

In addition, he has handled a wide variety of non-acquisition-related institutional financings.

General Corporate Counseling

Ira has acted and continues to act in a general counsel capacity for a variety of significant industrial firms. Representation typically involves counseling with respect to disputes and related litigation, compliance with law, interpretation of contracts, preparation of documents, financing, and numerous other matters. He has provided similar services for dozens of clients.

Professional Activities

Ira has been actively involved for many years with a variety of charitable and educational organizations. In 2009, he was appointed to the advisory board of Legal Counsel for the Elderly following many years of pro bono work for the organization. He subsequently was elevated to the board of directors and served on the board until late 2020.

Ira is extremely proud and has been involved with Soupergirl, a business founded by his daughter, Sara, and wife, Marilyn. Soupergirl markets vegan, healthy, low-salt, local, and fresh soups and salads in the Washington area and many other parts of the United States.
