BLANK ROME REPRESENTED SOLACE CAPITAL PARTNERS IN ITS ACQUISITION OF CST INDUSTRIES INC
Blank Rome represented Solace Capital Partners, a private equity firm focused on special situations investments in North America, in its acquisition of CST Industries, Inc., the world’s largest and leading tank and dome manufacturer. The transaction initially was structured as an asset purchase M&A transaction, but Solace Capital later became the stalking horse bidder in a Chapter 11 bankruptcy proceeding and successfully purchased the CST assets pursuant to a court ordered sale. The Blank Rome team was led by Mark Greenfield and included, among others, Jonathan Keen, Leon Barson, Joel Shapiro, Victoria Guilfoyle, Kevin O’Malley, Carol Gershon, Joseph Doloboff, Caroline Donelan, Jonathan Clark, Margaret Hill and Timothy Pecsenye.
