Hot Topics for the Upcoming 2024 Proxy Season

NACD New England and NACD Philadelphia Chapters

Online Webinar

Blank Rome partner Yelena M. Barychev, co-lead of the firm’s Environmental, Social and Governance (“ESG”) team, will serve as a panelist for the National Association of Corporate Directors (“NACD”) New England and Philadelphia Chapters’ “Hot Topics for the Upcoming 2024 Proxy Season,” taking place Tuesday, January 16, 2024, from 7:30 to 9:00 a.m. EST, as an online webinar.

Proxy issues continue to expand demands and risks for boards and companies.

The panel will focus on the key issues companies and boards will be facing in the upcoming proxy season. Key areas include compensation; environmental, social, and governance (“ESG”); and shareholder engagement. Specifically included will be recently effective regulatory and disclosure requirements affecting board composition, candidate slates, and performance compensation. Panelists will provide an overall understanding about what has changed in the world of board directors over the past year that will directly influence the approach to the proxy season. In addition, they will discuss potential impacts of new regulations expected from the Securities and Exchange Commission along with increased scrutiny of existing requirements including ESG areas. As institutional shareholders continue their efforts to influence and focus the boardroom on such issues as diversity, equity, and inclusion and climate change impacts, they are further increasing their active engagement with both management and boards in various ways. What do directors need to know ahead of the upcoming proxy season and what pitfalls should they be prepared for?
