Jennifer Daniels maintains a diverse practice at the intersection of transactional law and privacy and data security, with a particular focus on serving clients in the life sciences industry. She regularly advises pharmaceutical, medical device, and healthcare technology companies on complex commercial transactions, regulatory compliance, and data governance matters.

Transactional & Commercial Work

Jennifer handles acquisitions and divestitures of companies, assets, and pharmaceutical and device products, including negotiating transition services arrangements. She drafts and negotiates complex licensing agreements, collaboration agreements, and contractual joint ventures for life sciences products and services. Her day-to-day commercial practice encompasses development agreements, supply agreements, distribution agreements, and clinical trial agreements for life sciences companies.

Privacy, Data Protection & Technology Compliance

Jennifer provides U.S. and global privacy and data protection compliance counseling, including advising on laws governing biometric data, artificial intelligence, and employee surveillance. She advises clients on security incident response, including notice obligations, contractual obligations, and communications with regulatory and law enforcement authorities. She regularly drafts and negotiates licensing, master services, and Software-as-a-Service (“SaaS”) agreements for technology products and services, including those involving artificial intelligence. She also counsels clients on the compliance requirements for healthcare technology products and services, including the rules of the Trusted Exchange Framework and Common Agreement (“TEFCA”) and the Carequality interoperability framework. She advises clients on data use rights, including in connection with disputes over those rights.
