  • Patent and licensing matters in the United States and internationally for a leading Japanese manufacturer of drugs and diagnostic reagents, including amino and nucleic acids for pharmaceutical and industrial use, bulk pharmaceuticals, animal health products, agrochemicals, health foods, and raw material alcohol. 
  • Electronic stock market in negotiations of a joint development/operating agreement with a major mutual fund company to bring a family of innovative financial products to market.  The transaction also involved trademark licenses and joint marketing arrangements.
  • Counseled a B2B and B2C home-and-garden retailer in all aspects of establishing and operating an online marketplace providing individual and corporate buyers of home and garden products a single online venue to conduct sales transactions.
  • Nonprofit infectious-disease research institute and patent holder in a transaction to securitize the royalty stream from an innovative biotechnology patent.  The transaction involved patent due diligence, tax, and secured financing matters.
