Megan A. Wotherspoon

Biography

Megan Wotherspoon has nearly 20 years of experience practicing business and corporate law, with a particular emphasis on domestic and cross-border mergers and acquisitions (“M&A”); private equity and venture capital transactions; strategic relationships; corporate restructuring; and governance. Focused on the middle- and upper-middle-market, Megan provides company-side M&A guidance as well as holistic advice as a trusted adviser. Megan frequently represents non-U.S. companies acting as a central point of contact for the U.S. legal and regulatory landscape.

Megan regularly advises clients on carve-outs, spin-offs, pre-transaction restructurings, and post-acquisition integrations and reorganizations.

Megan is certified in Legal Project Management and Legal Lean Sigma for legal process improvement and project management.

Prior to joining Blank Rome, Megan was a partner in the corporate group of an AmLaw 50 global law firm. While in law school, Megan was articles editor for the William and Mary Law Review and served as a judicial extern to the Honorable Maurice B. Cohill, Jr. at the United States District Court for the Western District of Pennsylvania.

Experience

  • Represented the world’s largest automotive battery recycler and secondary lead producer to automotive battery manufacturers for over a decade with respect to its U.S. operations’' general corporate matters and cross-border transactions, including tolling, supply, and other commercial contracts; corporate governance; compliance; employment matters; and litigation management.
  • Represented a multinational technology and engineering group in the sale of its U.S. road construction equipment manufacturing business.
  • Represented a manufacturer of thermoplastic piping systems in its carve-out acquisition of the manufacturing division of a manufacturer of high-quality pipe that meets or exceeds plumbing standards.
  • Represented a manufacturer of thermoplastic piping systems in its acquisition of a Virginia-based manufacturer of gasketed fittings.
  • Represented a cloud-based technology service provider in connection with its €225 million acquisition of a provider cloud-based communications products that serves more than 1,500 enterprise customers and 500 mobile operators, spanning 190 countries. The cross-border carve-out transaction involved a stock acquisition of entities located in the United States, Finland, and China, together with asset acquisitions across approximately 30 countries.
  • Represented a global metals leader, together with a privately held secondary lead smelting company and various affiliates in the transactions to effect the complete restructuring of approximately €2.25 billion of their respective affiliate’s outstanding debt obligations under a PIK Loan Agreement, dated March 23, 2007. The affiliate is the majority shareholder of the largest producer and recycler of lead metals globally.
  • Represented a manufacturer of thermoplastic piping systems in connection with its acquisition of a U.S.-based manufacturer of plastic pipe products that operates state-of-the-art production facilities in North Carolina, Oklahoma, and Florida.
  • Represented a leading provider of mission-critical water and wastewater treatment solutions in connection with its divestiture of its membrane product line to a global leader specializing in water, shelter, and safety solutions.
  • Represented a specialist robotic spacecraft developer in the sale of all of its outstanding stock to a subsidiary of a privately-owned high technology conglomerate.
  • Represented a provider of carbon compounds, and chemicals and treated wood products and services in the United States and internationally in connection with its $460 million carve-out acquisition of two business segments of a company in the wood preservation chemicals and railroad services businesses.
  • Represented a Pittsburgh-based financial services firm in connection with its strategic partnership with a private equity firm and an alternative investment management firm.
  • Co-counsel to various Swedish private equity clients conducting M&A activities in the United States.
  • Represented a provider of carbon compounds, and chemicals and treated wood products and services in the United States and internationally in connection with its acquisition of an energy resource exploration and production company.
  • Represented a provider of carbon compounds, and chemicals and treated wood products and services in the United States and internationally in connection with its $200 million acquisition of the industrial division of a manufacturer and distributor of utility poles.
  • Represented a provider of carbon compounds, and chemicals and treated wood products and services in the United States and internationally in connection with its acquisition of the creosote distribution business of a leading supplier of high purity process chemicals.
  • Represented a provider of carbon compounds, and chemicals and treated wood products and services in the United States and internationally in connection with the divestiture of its U.S. utility pole business to a manufacturer and distributor of utility poles..
  • Represented a leading manufacturer of engineered thermoplastic materials, polymeric compounds, and molded and profile products in connection with its $393 million sale to a specialty polymer, colorant, and chemicals manufacturer.
  • Represented a specialty steel manufacturer in connection with its acquisition of one of Sweden’s oldest companies from a private equity firm.
  • Represented a payments technology company in its late-stage equity offering and subsequent sale to a major American multinational technology company
