This program offers sessions for every state tax and government affairs professional with tax responsibilities. The Meeting has an extensive program covering all types of state and local taxes that business taxpayers are confronted with on a daily basis. The ever-popular audit sessions and state chamber of commerce roundtables are included, and other conference sessions provide updates on timely state and local tax (“SALT”) issues and insight regarding state tax trends and opportunities. Deference and the State Tax Implications of&nbsp;Loper Bright Thursday, September 18&nbsp; |&nbsp; 8:10–9:00 a.m.

The Supreme Court’s 2024&nbsp;Loper Bright&nbsp;decision may change the deference historically afforded state tax regulations and rulings and state tax agency interpretations and administrative practice. The panel will discuss how taxpayers might use&nbsp;Loper Bright&nbsp;to their advantage in state tax matters and potential traps inherent in relying on&nbsp;Loper Bright&nbsp;in dealing with state tax agencies.

This session will explore common pitfalls, including exposure to sales and use taxes, state income tax issues, nexus considerations, transfer taxes, and successor liability risks. Panelists will discuss strategies for thorough tax due diligence, navigating varying state rules, and structuring transactions to minimize unexpected burdens. The discussion will also cover post-closing matters such as audit risks, compliance obligations, and dispute resolution, providing attendees with practical insights to identify, assess, and mitigate state tax risks both before and after the deal.

Deep Dive into Cost-of-Performance and Market-Based Sourcing: Methods of Multistate Analysis, Planning and Tax Accounts Thursday, September 18&nbsp; |&nbsp; 2:15–3:05 p.m.

This session will provide a deep and advanced analysis of the impact of recent court decisions on COP and MBS and planning methods, strategies and ways to manage compliance and positions in the various states. We will discuss the range of possible positions in a variety of common fact patterns, the advantages and disadvantages of sourcing methods and ideas to minimize risk and achieve the best reasonable tax results. This session will also address the level of certainty in the law as it relates to tax accounts and reserves.
