About the Program
The Summit is designed to unite professionals with six to 15 years of experience in secured finance and provide an opportunity to glean insights from professionals who have navigated the intricacies of the field. Thought-provoking panels of industry luminaries will offer a unique perspective on both the industry and effective leadership.
Sarah and Mirlande’s session, “Liability Management Exercises: Keys to Avoiding Legal Landmines for ABL Lenders,” will take place on Wednesday, April 15, from 4:00 to 5:00 p.m.
About the Session
Liability management exercises have become a defining feature of today’s restructuring landscape, and asset-based lending (“ABL”) lenders are increasingly on the front lines. This panel will examine the most common liability management exercise (“LME”) structures, including dropdowns, up tiers, and other priming transactions, and how they have played out in recent market deals and litigation. Speakers will discuss key lender risk areas, evolving court treatment of sacred rights and “effect of” language, and the practical protections lenders should be negotiating in credit agreements.
