About the Program

The Federal Procurement Institute (“FPI”) is the ABA Section of Public Contract Law’s flagship event and features presentations on the significant and emerging issues in public procurement by practitioners from government, industry, private law practice, and academia.

The 2026 FPI marks the 32nd year that the Section has hosted this prestigious event, upholding a time-honored tradition of presenting panels that feature lively discussion covering the gamut of significant federal procurement developments. 

Nicole’s session, “Government Contracts Mergers & Acquisitions—A Practitioner’s Workshop,” will take place Friday, March 13, from 11:00 a.m. to 12:30 p.m.

About the Session

This workshop-style session walks through the lifecycle of a government contracts mergers and acquisitions (“M&A”) transaction, from sourcing and vetting targets to letters of intent, due diligence, purchase agreements, closing, and integration. Panelists will discuss regulatory and practical considerations unique to transactions involving government contractors, including affiliation and organizational conflict of interest (“OCI”) risks, novation and change of control notifications, foreign ownership, control or influence (“FOCI”) mitigation, and disclosure obligations. The session will also address purchase agreement drafting for representations and warranties, intellectual property and data rights diligence, and cyber compliance. The panel will emphasize how government contracts counsel can add value on both the buy and sell side by tailoring diligence, contractual terms, and post-closing actions.
