Thomas M. Callahan

Biography

Thomas Callahan has a broad-ranging corporate practice, advising on public and private mergers and acquisitions, joint ventures and strategic alliances, private equity, equity capital markets, corporate reorganizations, and general corporate law matters. He has advised on transactions across a wide range of jurisdictions and industry sectors.

Prior to joining the Firm, Tom focused his practice on general corporate banking matters with a primary focus on trade and development financings, where he represented U.S., European, Russian and other banks, intergovernmental and other state lenders, and corporate borrowers.

Tom serves as a member of the International Human Rights Committee of the New York City Bar Association.

At Fordham Law School, Tom was a Crowley Scholar in international justice, recipient of multiple international law-related fellowships and served as the Executive Notes and Articles Editor of the Fordham International Law Journal, Volume 39. Tom is a fluent Russian speaker.

Outside the Firm

Tom is an avid traveler and record collector.

  • Xcel Brands (XELB): advising on the stock-and-cash acquisition of the Halston brand. 
  • Gladstone Investment (GAIN): advising on the sale of its equity interest and the prepayment of its debt investment in Star Seed, Inc. 
  • Alternative investment fund: advising on U.S. regulatory aspects of a $500 million short-term note private placement. 
  • FTSE 100 mining conglomerate: advising the buyer in the restructuring of a distressed coal concern. 
  • U.S. restaurant chain: advising master franchisor in new franchise arrangements in Russia, Kazakhstan, and Azerbaijan in connection with the entry of a creditor of the Russian franchisee to the transaction. 
  • SGX-listed UK shipping conglomerate: advising the offtaker and lender in a hybrid offtake and credit transaction. 
  • Top-five French bank: advising the lead arranger in a secured syndicated pre-export facility to a Kazakhstan copper mining company.
