Terrence A. Everett


Terrence Everett concentrates his practice on a broad range of matters involving corporate and finance transactions, mergers and acquisitions, corporate governance, securities, gaming, hospitality, and real estate.

He has represented clients from NYSE companies to start up entities in connection with corporate structure and governance, acquisitions, operations, and financing, and acts as outside general counsel to various companies.

Terrence also has extensive experience in complex international and cross-border operations and transactions as well as equity, debt, and venture capital financing for such. Additionally, he has substantial experience in handling real estate transactions.


  • Negotiated a tax-advantaged $800 million sale agreement for the foreign owner of a major retail center involving an exchange of convertible securities of a NYSE REIT.
  • Advised an American Stock Exchange company in the corporate structuring and acquisition of a dissident shareholder block of stock by white knight and compliance with state takeover statutes. Structured an international investment group for a billion-dollar-plus project investment.
  • Represented a NYSE top 50 bank holding company and other banks in the acquiring and divestiture of banks, branch networks, and banking operations, as well as tender offers and going private transactions.
  • Represented trustees in connection with the development of a unique structure with a securities offering for more than two billion dollars of membership units and $600 million of debt financing, to accommodate the termination and distribution of assets of a dynastic trust to beneficiaries in cash and kind.
  • Assisted in advising a global financial services firm on restructuring more than $300 million of bond financing for a Mexico infrastructure project.
  • Represented an affiliate of one of the largest financial advisory and asset management firms in the marketing and divestiture of agricultural operations for $50 million.
  • Represented an entertainment conglomerate in the sale of motion picture and television production and distribution entertainment assets, including substantial film libraries.
  • Represented a government-owned investment corporation in the acquisition of the Beverly Hills Hotel and other hospitality properties.
  • Represented clients in connection with the acquisition, financing, and corporate structuring, operations, and divestiture of casino and gaming assets, including casinos, racetracks, and Internet gaming operations. Managed bids for gaming licenses in Maryland, Massachusetts, Pennsylvania, and Ohio.
  • Represent a major hotel chain in connection with participation as a lender and major shareholder in the development of a Nevada hotel and casino operation and public offering.
