Biography
Richard Gauthier advises private equity sponsors, portfolio companies and strategic buyers and sellers on complex domestic and cross-border transactions. His practice centers on middle- and upper-market private equity M&A, leveraged buyouts, divestitures, and strategic acquisitions.
Richard counsels clients across all phases of deal execution, from initial bid strategy and diligence through closing. He negotiates key transaction documents, including purchase agreements, disclosure schedules, equity and rollover agreements, and organizational documents such as limited partnership agreements.
Richard also oversees sophisticated diligence processes, coordinating with regulatory, commercial, and operational subject-matter experts to identify and resolve material risks. He also advises sponsor-backed operating companies on governance, add-on acquisitions, and equity arrangements.
Prior to joining the firm, Richard served as a private capital transactions associate at a global AmLaw 200 firm, and an associate at a boutique corporate law firm.
While in law school, Richard served on the staff of the Fordham Intellectual Property, Media & Entertainment Law Journal.
Outside the Firm
Richard enjoys spending time with his wife, cooking, and traveling.
