Rachel Sims

Biography

Rachel Sims maintains an active litigation and counseling practice focused on complex commercial litigation and business disputes (business divorce), with an emphasis on partnership disputes.

Rachel counsels professional associations, corporations, partnerships, and senior executives in the following areas:

  • contracts
  • partnership agreements
  • employment related issues
  • business torts
  • real estate
  • fiduciary duties
  • ethics
  • dissolution
  • restrictive covenants and non-compete restrictions
  • attorney client privilege and work product protection
  • e-discovery and e-retention

In 2008, Rachel received the Commitment to Justice Award in the Legal Teams category from inMotion, Inc., now known as Her Justice Inc.

During law school, Rachel was a member of the Brooklyn Law Review.

Rachel is an active member of the Firm’s e-Discovery Initiative and Real Estate Practice Group.

    Experience

    • Obtained a complete defense verdict in representation of a general partner of a real estate partnership sued by some of its other general and limited partners.
    • Represent a Brooklyn-based property owner and major real estate developer, in numerous complex partnership disputes involving contested ownership and financing obligations.
    • Represent several New York accounting firms, in enforcing restrictive covenant and liquidated damages provision.
    • Represented the Wind-Down Committee, in the dissolution of one of Philadelphia’s most storied law firms.
    • Represented a minority shareholder, in a judicial dissolution of corporation to remedy oppressive conduct shown by the majority shareholders.
    • Counsel numerous partnerships in writing or amending their partnership agreements.
