Biography
Rachel Cheasty Sanders advises public and private companies, private equity sponsors, and strategic investors on a wide range of domestic and cross-border transactions and corporate governance. Rachel has led complex transactions from initial structuring through post-closing and serves as a trusted advisor to business leaders, boards, and investors.
Rachel’s transactional background includes managing dozens of mergers and acquisitions ranging from early-stage deals to multibillion-dollar transactions. She regularly negotiates purchase agreements, coordinates multi-disciplinary due diligence teams, and handles carve-outs, spin-offs, pre-transaction restructurings, and multi-jurisdictional compliance matters.
Prior to joining the firm, Rachel served as a senior corporate associate at an AmLaw 50 global law firm. While in law school, she served as research editor of the Penn State Law Review.

- A manufacturer of thermoplastic piping systems in its carve-out acquisition of a division of a manufacturer of high-quality pipe that meets or exceeds plumbing standards.
- An architectural firm in its reorganization, financing, and the set of and sale of stock to an ESOP.
- A global Cloud Communications Platform as a Service (“CCPaaS”) company in connection with its €225M acquisition of a unit which provides cloud-based communications products and services more than 1,500 enterprise customers and 500 mobile operators, spanning 190 countries.
- A global metals leader and its affiliates in the transactions which effected the complete restructuring of approximately €2.25B debt obligations under a PIK Loan Agreement.
- A manufacturer in thermoplastic piping systems in connection with its acquisition of a US-based manufacturer of plastic pipe products.
- A leading provider of mission-critical water and wastewater treatment solutions in connection with its divestiture of a product line.
- A financial services firm in connection with a strategic partnership with a growth-oriented private equity firm and investment advisor.
