Jose Manalo concentrates his practice on mergers and acquisitions, private equity investments and venture capital financing, and capital markets. He also handles a broad range of general corporate matters, including the formation of corporations, limited liability companies, limited partnerships, and general partnerships, corporate governance, and commercial contracts.
Jose has significant experience representing public and private companies in stock and asset acquisition transactions, secured and asset-based borrowing transactions, and debt and equity securities offerings. His experience also includes drafting a variety of transaction and corporate governance documents, including purchase agreements, investors’ rights agreements, voting agreements, rights of first refusal and co-sale agreements, simple agreements for future equity, master services agreements, transfer and assignment agreements, consulting agreements, credit and security agreements, bylaws, operating agreements, and partnership agreements.
Prior to law school, Jose worked as an internal auditor in the banking industry and an enterprise risk services consultant with a Big Four accounting firm, where he advised various public companies on matters related to financial and operational risks and business process improvements.
Outside the Firm
Jose is involved in various musical endeavors and frequently sings and plays the saxophone at church services, weddings, and other events. Jose also enjoys swimming and playing tennis and basketball.
