Ari M. Pozez

Biography

Ari Pozez concentrates his practice on corporate, securities and M&A law, with an emphasis on advising emerging companies and their venture capital and private equity investors.

He routinely represents entrepreneurs and emerging companies as their outside general counsel on a variety of matters, from entity formation and corporate governance to financings and M&A exit events.  Ari also guides venture capital and private equity funds in new ventures and fund formation.

In addition, Ari assists larger public and private companies in M&A transactions and securities offerings, including representing underwriters and issuers in public equity offerings, and underwriters, issuers, and collateral managers in matters involving the structuring, securitization, and refinancing of collateralized loan obligations. 

Ari is a member of the Board of Directors of the National Law Center for Inter-American Free Trade, and he is a member of the Firm’s Blockchain Technology & Digital Currencies group.

Ari contributes to the quarterly issuance of Blank Rome’s “Fund and Investment Management Regulatory Update and Recent SEC Actions” publication.

Merger & Acquisition Transactions

  • Sale of a majority stake in a privately held e-commerce company to a private equity firm, valued at more than $300 million.
  • Sale of a cyber security software platform in a cross-border transaction valued at more than $10 million.
  • Acquisition by Ryder System, Inc., of the MXD Group, a private equity backed e-commerce fulfillment provider with a national network of facilities, including last mile capabilities
  • Acquisition by a leading U.S. alcohol beverage distributor of multiple regional distribution companies.

  • Company counsel to a healthcare SaaS provider in its Series A financing.
  • Company counsel to an automated lead generation Company in its Series Seed financing.
  • Counsel to an investor group in its Series A investment in a medical devices company.
  • Company and Investor’s counsel in multiple rounds of equity financings and convertible debt financings.
