ABOUT THE PROGRAM

The U.S Department of the Treasury implemented the Final Rules governing outbound investment (the “Rule”) on January 2, 2025. As part of the National Defense Authorization Act of 2026, Congress enacted the Comprehensive Outbound Investment National Security Act of 2025 (the “Act”). The Rule remains effective pending issuance of new regulations mandated by the Act, which expands both the technologies impacted and the countries to which these restrictions apply.

The Rule focused on China, while the Act adds Russia, Cuba, Venezuela, Iran, and North Korea to the list of “countries of concern” to which these restrictions will apply. The Rule already applies to technology and products such as certain semiconductors, quantum information technologies, and artificial intelligence; the Act adds hypersonics and high-performance computing to technologies of concern.

This webinar will review the current Rule and the impact the Act will have when implementing regulations are enacted. We will consider how the Rule has impacted affected transactions, and how the additional diligence responsibilities, record-keeping, and notification requirements have changed the way outbound investments have worked.
