Herman will serve as a panel moderator at the Association of Insolvency & Restructuring Advisors’ (“AIRA”) 20th Annual Advanced Restructuring and Plan of Reorganization Conference, being held Monday, November 15, 2021, from 10:00 a.m. to 6:30 p.m. EST, at The Union League Club in New York, NY, with a virtual option for those who choose to attend from home or office.

Ira’s panel, “Plan and Asset Sales Negotiating No-Nos,” will take place from 4:15 to 5:15 p.m. EST.

SESSION DESCRIPTION

What are the ethical obligations of the parties negotiating the economic terms of a plan of reorganization or a sale under section 363 of the Bankruptcy Code? The objective of this session is to address this question. The panelists will provide guidance concerning the professional responsibility and ethical obligations of estate representatives, including debtor’s counsel, committee counsel and committee members (OUCC, equity and ad hoc), as well as lenders, equity sponsors and other investors. They will also address some lessons learned from the Nieman Marcus case as well as other recent case law guidance.
