Considerations for Removing Officers or Directors

Blank Rome Partner Jeffrey R. Richter will speak at the Auxiliary Organizations Association (“AOA”) 2020 Annual Conference, being held January 12 through 15, 2020, in Coronado, California. This year’s theme is “Celebrating AOA’s Past and Promising Future,” marking the conference’s 50th Anniversary.
Jeffrey’s session, “Considerations for Removing Officers or Directors,” will take place Monday, January 13 from 4:00 to 5:00 p.m., and will will discuss measures to contemplate when considering the removal of a board director or officer, including:
- Do the bylaws provide clarity about terms of service, expectations of fiduciary and ethical standards, and when a board member can be removed?
- What are appropriate reporting and review processes?
- What are the reputational risks of acting or not acting?
