Xcel Brands, Inc. Acquires H by Halston and H Halston Trademarks

Blank Rome represented Xcel Brands, Inc. (“Xcel”) in the company’s acquisition of the H by Halston and the H Halston trademarks and other intellectual property rights, from House of Halston for approximately $27.7 million in a combination of cash, stock, and warrants. In connection with the acquisition, Xcel entered into a Trademark License Agreement to license the H Halston trademark back to House of Halston for use in all channels of distribution, except for direct-response television. Xcel financed the cash portion of the purchase price through the issuance of approximately 1.1 million shares of its common stock for an aggregate purchase price of $9.8 million in a private placement and entered into a new secured term loan facility with Bank Hapoalim for $10 million. Xcel also entered into a licensing agreement with QVC to market, promote, distribute, and sell products under the H by Halston trademark and brand name. The transaction closed on December 23, 2014.
