A Blank Rome team successfully represented Prospect Capital Corporation (“Prospect”) (NASDAQ: PSEC), a business development company, in the acquisition of QC Holdings, Inc. (“QC Holdings”), a provider of consumer credit. Prospect acquired QC Holdings in an all-cash transaction for a total enterprise value of approximately $115 million. In connection with the transaction, which was structured as a merger, Prospect also provided term financing, with Axos Bank and Busey Bank providing senior loans. The merger agreement was executed on April 11, 2025, and the transaction closed on June 30, 2025.
