Martin Teckler

Biography

Martin Teckler has over 30 years of experience in the areas of general corporate law, real estate, administrative law, securities, private equity, and venture capital, with a primary focus on the representation of venture capital and private equity funds structured as Small Business Investment Companies (“SBICs”) as well as specialty lenders that make financial assistance available to small and mid-sized businesses. 

Martin is one of the few attorneys in the country experienced in the programs of the Small Business Administration (“SBA”) and other federal agencies that provide capital to small businesses. In addition to the SBA, he navigates his clients through the small business programs of the U.S. Department of Agriculture, OPIC, and the Export-Import Bank, as well as areas of government contracting and the provision of set-asides to small and minority-owned businesses.

Prior to joining Blank Rome, Martin was a partner at an Am Law 200 firm in Washington, D.C. Previously, he served as deputy general counsel for the SBA, where he was senior counsel for the SBA’s Business Lending, Small Business Investment Company (Venture Capital and Private Equity), and Development Company Programs. In this capacity, Martin prepared significant securities transactions and interacted extensively with sources of lending and venture capital for small businesses, providing him with a firsthand perspective and multidimensional understanding of what is needed to successfully close numerous SBA-related transactions.

Martin is a frequent speaker on SBIC, Certified Development Company, and Small Business Lending Fund matters. He participates in, and has presented before, the Small Business Investor Alliance and the National Association of Government Guaranteed Lenders.

Experience

  • Formation and licensing of multiple SBICs, including the structuring of fund entities, representation of principal groups before the SBA, resolution of investor issues, obtaining leverage from the SBA, and resolving regulatory matters on behalf of licensed SBICs.
  • Structuring multiple venture capital and private equity investments by SBICs and other funds in a manner that complies with applicable SBA regulations.
  • Formation and structuring of non-SBIC venture capital and private equity funds.
  • Representing multiple lending institutions in obtaining authority to make SBA and U.S. Department of Agriculture guaranteed loans.
  • Representation of multiple issuers, acquirers, and broker-dealers, in secondary market and securitization transactions involving government-guaranteed loans.
