Danielle V. Garcia focuses her practice on representing lenders in secured finance transactions, including senior, second lien and mezzanine financings, on an asset-based, cash-flow and leverage basis.  Such representations include the establishment of credit facilities in the context of acquisitions, recapitalizations, refinancings, debtor-in-possession financing, working capital and other strategic financings, as well as related restructurings, workouts and intercreditor negotiations.

Ms. Garcia’s transactional experience includes U.S. and cross-border financing transactions involving both public and private companies operating across all market segments, including retail, dining, technology, software, energy, transportation, importing and distribution, construction, manufacturing, service and agriculture.


REPRESENTATIVE MATTERS

  • Representation of agent and lender in $30 million asset based revolving credit facility to U.S., Canadian and UK borrowers engaged in designing, marketing and distributing professional audit and musical instrument products
  • Representation of agent and lender in $24 million recurring revenue unitranche credit facility to software company providing surgical instrument tracking and workflow solutions for sterile processing departments of hospitals and surgical centers
  • Representation of agent and lender in $50 million asset based unitranche credit facility to manufacturer and designer of premium snowboards and accessories
  • Representation of lender in $5.5 million recurring revenue term loan to financial services software company providing solutions for compliance mandates
  • Representation of PNC Bank in $38 million debtor-in-possession asset based financing and 363 sale of retailer Edwin Watts Golf Shops
  • Representation of PNC Bank in $200 million widely syndicated revolving facility to Emerge Energy, a public limited partnership whose operations include mining and selling sand for the hydraulic fracking industry, and the manufacture and distribution of biodiesel and petroleum products
  • Representation of agent and lender in $20 million asset based revolving credit facility to online retailer of designer clothing, accessories and home furnishings
  • Representation of agent and lender in $100 million asset based revolving credit facility, with a $60 million Ex-Im subline, to leading manufacturer of yarn for the apparel industry
  • Representation of agent and lender in $250 million widely syndicated asset based revolving credit facility to manufacturer and distributor of metal products
  • Representation of agent and lender in $80 million asset based revolving credit facility to an automobile parts manufacturer and distributor, extended in connection with its leveraged buy-out by a private equity company
  • Representation of agent and lender in $100 million asset based, multi-currency revolving credit facility to an international outsourcing provider in connection with a tender offer for its stock by a private equity company, the company’s merger with another outsourcing company and the issuance by the combined companies of $250 million in secured second lien notes. Borrowing base assts were located in the United States, the Netherlands, Canada and the Philippines.
  • Representation of agent and lender in $25 million term loan and $2 million revolving line of credit for software provider with a focus on related services for government legislative records management.
  • Representation of lender in $10.5 million term loan and $2 million revolving line of credit for a provider of point of care software and laboratory billings software to hospitals and hospital laboratories.
